Spawn made a comeback against Optimus Prime while Deadpool flew by Hellboy without much trouble. Can Deadpool defeat another creation of Hell, or does Spawn put an end to Deadpool's antics?

Say hello to possibly the fight of the tournament. Deadpool and Spawn are somewhat similar with increased strength, speed, durability and a healing factor. The only problem is, Wade Wilson's healing factor is out of the world and can heal himself from pretty much any wound, be it physical or psychological. The other problem here is that Spawn may well try to rely on putting Deadpool away with his magical powers, which Deadpool can capitalise on. Spawn will eventually run out of powers as Deadpool stalls and Spawn's little counter reaches 0. Thus leaving him open for hand-to-hand combat, at which Wade Wilson's a master. Deadpool would eventually manage to seize an opening and incapacitate Spawn for a long enough period of time to gain the victory.
 
Spawn has all the attributes that Deadpool has and more. Super speed, strength, rapid healing factor... the works. Spawns cape can harden into a sheild which would protect him from gunfire, and his chains can be used long range.

The biggest advantage that Spawn has is that can't be killed, or really even hurt, unless the weapon is holy or divine. So unless Deadpool pulls out a gun that was blessed by Jesus, he's not going to be able to hurt Spawn.

Spawn takes it.
 
Concerning the argument about weapons being holy etc... the most obvious way around that is that the opponent (in this case Deadpool) could simply bless his weapons with Holy Water. Deadpool may not be the sharpest tool, but he's got enough battle sense to figure out what will and what won't work in the great scheme of things. It's not that hard to figure out that if normal weapons won't harm the satanic spirit, then holy ones will. Deadpool throws a sword in there, picks it up and stabs Spawn to death. Deadpool wins.

The first part of this fight would literally be Deadpool RUNNING from Spawn to find a church and thus holy water...by this point, Spawn gets hold of him and the fight begins. Deadpool can't logically defeat spawn without holy weapons...

There's no pre-planning allowed, and with THAT rule in mind, Spawn gets it.

If there's one thing Deadpool's good at, it's running away. Between his enhanced physique and teleportation technology, Deadpool can get away from anyone in a hurry.

That said, I don't think Deadpool figures out he needs holy weapons to defeat Spawn. That's the type of conclusion it takes him numerous comics to reach. Unfortunately for Deadpool, he doesn't have numerous comics, he has this battle.

I'm leaning towards Spawn, though Deadpool is certainly not as outmatched as some make him out to be.

Exactly what JGlass said, Deadpool runs like the wind almost every time he faces off with a character like Spawn. It's one of his trademarks along with never shutting up. Many also seem to be counting out the fact that Deadpool essentially has the best healing factor in all of Marvel, if not all comics. He can heal from having his brains blown up, being ripped to shreds and stuff like poison doesn't even effect him. Simply put, it'll take something real special from Spawn to incapacitate Deadpool for long enough to win.
 
Whilst Wade can't pre-prepare for Spawn; I think a combination of his name, looking like a demon and ordinary weapons having no effect just might give him a clue that he'll need divine assistance to take him down. Spawn on the other hand will be absolutely flummoxed, what do you do with someone who recovers no matter what you throw against him? In a battle of two guys who are very hard to defeat, I think Deadpool has the edge. Merc with the Mouth for me.
